Welcome to SocialVeera ("we," "our," or "us"). By accessing or using our social media management platform at socialveera.com and app.socialveera.com (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account, accessing, or using SocialVeera, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and SocialVeera.

2. Eligibility

You must be at least 18 years old to use our Service. By using SocialVeera, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You will use the Service in compliance with these Terms and all applicable laws

3. Account Registration and Security

3.1 Account Creation

To use SocialVeera, you must create an account by providing accurate, current, and complete information. You agree to:

  • Provide truthful and accurate registration information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account

3.2 Account Responsibility

You are responsible for all activities that occur under your account. You agree not to:

  • Share your account credentials with others
  • Allow others to access your account
  • Create multiple accounts for fraudulent purposes
  • Impersonate another person or entity

4. Service Description

SocialVeera provides a social media management platform that allows you to:

  • Schedule and publish content across multiple social media platforms
  • Manage multiple social media accounts from a single dashboard
  • Analyze social media performance and engagement
  • Collaborate with team members (depending on your plan)

The specific features available to you depend on your subscription plan.

5. Subscription Plans and Pricing

5.1 Plans

SocialVeera offers various subscription plans with different features and pricing. Current plans and pricing are available on our website.

5.2 Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are in Indian Rupees (INR) unless otherwise stated
  • Payment is due immediately upon subscription or renewal
  • We accept payment through our authorized payment processors
  • All fees are non-refundable except as required by law or as explicitly stated in our Refund Policy

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fee.

5.4 Price Changes

We reserve the right to modify our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle. Continued use of the Service after a price change constitutes acceptance of the new price.

5.5 Taxes

Fees do not include applicable taxes. You are responsible for paying all taxes associated with your use of the Service, including GST or other applicable taxes.

6. Free Trials and Promotional Offers

We may offer free trials or promotional pricing from time to time. These offers:

  • Are subject to specific terms communicated at the time of the offer
  • May require payment information upfront
  • Will automatically convert to a paid subscription unless canceled before the trial ends
  • Are limited to one per user/organization unless otherwise specified

7. Acceptable Use Policy

7.1 Permitted Use

You may use SocialVeera only for lawful purposes and in accordance with these Terms. You agree to use the Service in a professional and ethical manner.

7.2 Prohibited Activities

You agree NOT to:

  • Post, schedule, or distribute illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
  • Post content that infringes intellectual property rights, privacy rights, or other rights of any party
  • Distribute spam, unsolicited messages, or engage in any form of harassment
  • Post misleading, false, or deceptive content
  • Share content promoting violence, discrimination, or hate speech
  • Distribute malware, viruses, or harmful code

Platform-Related:

  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Reverse engineer, decompile, or attempt to extract source code
  • Remove or modify any copyright, trademark, or proprietary notices
  • Use the Service to compete with SocialVeera or create a similar service

Social Media Platform Violations:

  • Violate the terms of service of any connected social media platform (Facebook, Instagram, LinkedIn, Twitter, etc.)
  • Engage in practices that could result in account suspension on connected platforms
  • Use the Service to artificially inflate engagement metrics

7.3 Consequences of Violations

Violation of this Acceptable Use Policy may result in:

  • Immediate suspension or termination of your account
  • Removal of offending content
  • Legal action if required
  • No refund of any fees paid

8. Social Media Account Connections

8.1 Authorization

By connecting your social media accounts to SocialVeera, you:

  • Grant us permission to access and post content on your behalf
  • Authorize us to retrieve analytics and performance data
  • Acknowledge that you have the necessary rights and permissions for the accounts you connect

8.2 Third-Party Platforms

Your use of connected social media platforms (Facebook, Instagram, LinkedIn, Twitter, Google My Business, YouTube, etc.) is subject to their respective terms of service. You are responsible for:

  • Complying with each platform's terms of service
  • Maintaining your accounts in good standing
  • Any consequences resulting from violations of platform policies

8.3 Platform Changes

Social media platforms may change their APIs, policies, or features at any time. We are not responsible for:

  • Changes made by third-party platforms
  • Loss of functionality due to platform changes
  • Account suspensions or bans imposed by platforms

8.4 Disconnection

You may disconnect your social media accounts at any time through your SocialVeera dashboard. We may disconnect accounts if required by platform policies or for security reasons.

9. Content Ownership and License

9.1 Your Content

You retain all ownership rights to the content you create, upload, or schedule through SocialVeera ("Your Content"). You are solely responsible for Your Content.

9.2 License to SocialVeera

By using our Service, you grant SocialVeera a limited, non-exclusive, worldwide, royalty-free license to:

  • Store, process, and transmit Your Content as necessary to provide the Service
  • Display Your Content within your account dashboard
  • Create backups of Your Content for service continuity

This license terminates when you delete Your Content or close your account, except for content that has been shared with others or as required for legal compliance.

9.3 Content Responsibility

You represent and warrant that:

  • You own or have the necessary rights to all content you post
  • Your Content does not violate any third-party rights
  • Your Content complies with all applicable laws and regulations
  • You have obtained all necessary permissions, releases, and licenses for Your Content

9.4 Content Monitoring

While we do not actively monitor user content, we reserve the right to:

  • Review content for compliance with these Terms
  • Remove content that violates these Terms
  • Report illegal content to authorities
  • Cooperate with law enforcement investigations

10. Intellectual Property Rights

10.1 SocialVeera Property

The Service, including its software, design, features, functionality, text, graphics, logos, and other content (excluding Your Content) is owned by SocialVeera and is protected by copyright, trademark, and other intellectual property laws.

10.2 Trademarks

"SocialVeera" and related logos are trademarks of SocialVeera. You may not use our trademarks without prior written permission.

10.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Distribute, sell, or sublicense the Service
  • Remove proprietary notices from the Service
  • Use the Service to create a competing product

11. Privacy and Data Protection

11.1 Privacy Policy

Your use of SocialVeera is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11.2 Data Security

We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

11.3 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of Your Content.

12. Service Availability and Modifications

12.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance (we'll provide advance notice when possible)
  • Emergency maintenance
  • Technical difficulties
  • Third-party service disruptions
  • Force majeure events

12.2 Service Modifications

We reserve the right to:

  • Modify, update, or discontinue features of the Service
  • Change the Service's functionality or appearance
  • Add or remove integrations with third-party platforms

We will provide reasonable notice of material changes when possible.

12.3 No Liability for Downtime

We are not liable for any loss, damage, or inconvenience caused by service unavailability or modifications.

13. Cancellation and Termination

13.1 Cancellation by You

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access until the end of your current billing period
  • No refund will be provided for the remaining period
  • Your account will be downgraded or closed at the end of the billing period
  • You are responsible for exporting Your Content before cancellation

13.2 Termination by SocialVeera

We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your payment method fails or you have outstanding dues
  • We suspect fraudulent or illegal activity
  • Required by law or regulatory authority
  • You engage in abuse or harassment of our staff or other users

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete Your Content after a reasonable grace period
  • You remain liable for all fees incurred before termination
  • Provisions that should survive termination will remain in effect

13.4 Data Export

You are responsible for exporting Your Content before account termination. We may provide a limited grace period for data export but are not obligated to retain your data after termination.

14. Refund Policy

14.1 General Policy

All subscription fees are non-refundable except as required by applicable law or as specified below.

14.2 Exceptions

We may provide refunds at our sole discretion in cases of:

  • Service failure that prevents substantial use of the platform
  • Billing errors or duplicate charges
  • Cancellation within 7 days of initial subscription (first-time users only)

14.3 Refund Process

  • Reason for refund request
  • Supporting documentation if applicable

Refund requests will be reviewed within 7-10 business days.

15. Disclaimers and Limitation of Liability

15.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of uninterrupted or error-free service
  • Warranties regarding accuracy or reliability of results
  • Warranties that the Service will meet your requirements

15.2 Third-Party Services

We are not responsible for:

  • The availability, functionality, or policies of connected social media platforms
  • Content posted on third-party platforms through our Service
  • Actions taken by social media platforms regarding your accounts
  • Changes to third-party APIs or integrations

15.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIALVEERA SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Unauthorized access to your accounts or data
  • Actions or omissions of third-party platforms
  • Any damages exceeding the amount you paid to SocialVeera in the 12 months preceding the claim

15.4 Jurisdictional Limitations

Some jurisdictions do not allow limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless SocialVeera, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your Content or violation of any third-party rights
  • Your violation of these Terms or applicable laws
  • Any actions taken using your account

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

17.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

17.3 Informal Resolution

Before filing a formal claim, you agree to first contact us at support@socialveera.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

17.4 Arbitration

If informal resolution fails, disputes may be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, conducted in Chennai, Tamil Nadu.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SocialVeera.

18.2 Amendments

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be notified via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the modified Terms.

18.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.5 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

18.6 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18.7 Relationship

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and SocialVeera.

18.8 Third-Party Beneficiaries

These Terms are not intended to benefit any third party, and do not create any third-party beneficiary rights.
